Practice 03
Commercial and corporate law
Company registration, changes and liquidation, share transactions and commercial contracts written for the real business — not from a template.
A contract is written for the day something goes wrong.
We have extensive experience in proceedings before the Commercial Register — registration, liquidation and reorganisation of every type of company, registration of changes and filing of documents, including annual financial statements.
We draft commercial contracts — for sale, supply, agency, work, distribution and services — tailored to the regulation of the business concerned, and advise on the consequences of non-performance.
For foreign investors we prepare the structure and documents in English as well, and run the procedures in Bulgaria from start to finish.

Questions and answers
Frequently asked questions
01How long does it take to register a company in Bulgaria?
Registration in the Commercial Register itself usually takes a few working days after filing. Preparing the documents and, where needed, paying in the capital add a few more days. The timing also depends on whether the founders are in Bulgaria.
02Can I close my company if it has debts?
Voluntary liquidation is possible, but creditors must be invited and paid before the company is deleted. If the company is insolvent, insolvency proceedings apply. We assess which route is lawful and most appropriate.
03What is the difference between an EOOD, an OOD and an AD?
An EOOD has a single owner and an OOD two or more partners; the company is liable with its assets, while partners generally risk only their capital contributions. An AD (joint-stock company) suits larger capital, more shareholders and more complex governance. The choice depends on goals, financing and future plans.
04Do you draft contracts in English?
Yes. Bilingual contracts with foreign counterparties are a regular part of our work; we expressly state which language version prevails and which law applies.
